Welcome to Madfut! Please read these Terms of Use (the “Terms” or “Terms of Service") to learn the rules and restrictions that govern your use of our applications (the “Apps”), website(s) (including www.madfut.com, the “Websites”), products and services (collectively with the Apps and Websites, the “Services”) operated by MADFUT LLC, doing business as Madfut or MADFUT or MEDFUT (hereinafter “Madfut”, “Company”, “Us”, “We”, and their derivatives). By installing, using or otherwise accessing the Services in any way, you agree to be bound by these Terms and our Privacy Policy located at www.madfut.com/privacypolicy. These Terms will remain in effect while you use the Services. If you do not agree to be bound by these Terms, do not install, use or otherwise access the Services.

By accessing and using the Services, you affirm that you are the legal age of majority in your country of residence. If you are not, your legal guardian must review and agree to these Terms. 

Madfut is authorized to change, modify, amend, add or remove portions of these Terms and its Privacy Policy at any time, with the amended Terms effective as soon as they are posted on our Services. Please check the most current Terms to ensure you are aware of all the terms and conditions regulating your use of our Services. You will be deemed to have accepted all such changes by continuing to use the Services.

We reserve the right to withdraw, amend or update the content of our Services at any time and without any notice. We will not be liable if, for any reason, all or any part of Services is unavailable at any time or for any period.

INTELLECTUAL PROPERTY RIGHTS

The Services, and their features and functionality are owned by Madfut, its licensors, or other providers of such material and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms permit you to use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services. You must not access or use for any commercial purposes any part of the Services or materials available through them. No right, title, or interest in or to the Services or any content on the Services is transferred to you, and all rights not expressly granted are reserved by Madfut. Any use of the Services not expressly permitted by these Terms is a breach of these Terms and may violate copyright, trademark, and other laws.

PROHIBITED USES

You may use the Services only for lawful purposes and in accordance with these Terms of Use. You agree not to use the Services in any way that violates applicable laws, in order to exploit or harm anyone, to send advertising or promotional material, or to impersonate or attempt to impersonate the Company or anyone else.

Additionally, you agree NOT to:

  • Disable, overburden, damage, or impair (or attempt to disable, overburden, damage, or impair) the Services or interfere with any other party's use of the Services

  • Engage in any other conduct that affects anyone else's use or enjoyment of the Services, or that, as determined by us, may harm the Company

  • Use any automatic device, process, or means to access the Services for any purpose, including monitoring or copying any of the material on the Services

  • Use any manual process to monitor or copy any of the material on the Services or for any other unauthorized purpose without our prior written consent

  • Use any device, software, or routine that interferes with the proper working of the Services

  • Introduce any viruses, Trojan horses, worms, or other material that is malicious or technologically harmful

  • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services, the server on which the Services are stored, or any server, computer, or database connected to the Services 

  • Attack the Services via a denial-of-service attack or a distributed denial-of-service attack.

  • Otherwise attempt to interfere with the proper working of the Services

  • Transmit or post any content or use language deemed to be offensive at Madfut’s sole discretion, including, without limitation, content or language that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, hateful, sexually explicit, or racially, ethnically, or otherwise objectionable, nor may you misspell or use an alternative spelling to circumvent or attempt to circumvent the content and language restrictions listed above

  • Post and/or make available to the public any other user's personal information in the Services and/or any game-related services without that user's express written consent

  • Violate the contractual, personal, intellectual property, or other rights of any party, or promote or constitute illegal activity

  • Improperly use Madfut’s support services, including without limitation submission of false reports of abuse or misconduct by any party

  • Disable, interfere with, or circumvent any security feature of the Services or any feature that restricts or enforces limitations on the use of or access to the Services

  • Participate in any activities and/or perform any actions that, in Madfut’s sole opinion, lead to, result in, or may result in an authorized user of the Services being defrauded of Virtual Currency or Virtual Items that user has earned through authorized gameplay in the Services

  • Sell Madfut’s Services or any of their parts, including but not limited to Virtual Currency or Virtual Items, user accounts, and/or access to user accounts to any party in exchange for real currency or items and/or services of monetary value

  • Use or take part (directly or indirectly) in the use of cheats, exploits, automation software, emulators, bots, hacks, mods or any unauthorized third-party software designed to modify or interfere with the Services, any Madfut game or any Madfut game experience.

  • Use or take part in the use of any unauthorized third-party software designed to modify or interfere with the Services

  • Share your password or any credentials you may use to access your account with anyone

  • Purchase, sell, rent, or give away your account, or otherwise make available your account to any third party; create an account using a false identity or information, or on behalf of someone other than yourself

  • Use your account for commercial purposes, including but not limited to advertising, or solicitation, or transmission of any commercial advertisements (junk or spam emails, chain letters, etc.)

  • Disrupt, interfere with or otherwise adversely affect the normal flow of the Services or otherwise act in a manner that may negatively affect other users' experience when using the Services or playing Madfut’s games. This includes any kind of manipulation of rankings, taking advantage of errors in the Services to gain an unfair edge over other players and any other act that intentionally abuses or goes against the design of the Services

  • Attempt to gain unauthorized access to the Services, Accounts registered to others or to the computers, Servers, or networks connected to the Services by any means other than the user interface provided by Madfut, including but not limited to, by circumventing or modifying, attempting to circumvent or modify, or encouraging or assisting any other person to circumvent or modify, any security, technology, device, or software that is part of the Services

  • Attempt to, or harass, abuse, or harm, or advocate or incite harassment, abuse, or harm of another person, group, including Madfut employees

Madfut reserves the right to determine what conduct it considers to be in violation of the rules of use or otherwise outside the intent or spirit of these Terms or the Services itself. You acknowledge and agree that if Madfut finds, at its sole discretion, that you have violated any of the above rules, you may no longer have access to the violating item/items and/or Madfut reserves the right to take actions, which may include terminating your account and prohibiting you from using the Services in whole or in part.

TERMINATION

We reserve the right to take actions, which may include terminating your account and prohibiting you from using the Services in whole or in part (including but not limited to by deleting your account) at any time, if we reasonably believe that you have violated or breached any of these Terms. In the event that we suspend or terminate your account, you will have no further access to your account and/or any content associated with it. Madfut will not issue any refund to you for Virtual Currency or Virtual Items acquired, developed during, or purchased in the Services.

IN-GAME CURRENCIES AND GOODS

Madfut’s mobile and social games include virtual in-game currency (“Virtual Currency”), such as coins, tokens and others, that can be used to purchase virtual in-game items (“Virtual Items”). In no way can Virtual Currency or Virtual Items be exchanged with us or anyone else for real money, goods, other items, or services of monetary value. Transferring Virtual Currency or Virtual Items outside the Services is strictly prohibited, meaning that you may not buy or sell Virtual Currency or Virtual Items for real money or otherwise exchange Virtual Currency or Virtual Items for items of value outside the Services.

USER INTERACTIONS

You are solely responsible for your interactions with other users of the Services and any other parties with whom you interact through the Services, including Madfut games. Madfut reserves the right, but has no obligation, to become involved in any way with these disputes. You will fully cooperate with Madfut to investigate any suspected unlawful, fraudulent or improper activity, including, without limitation, granting Madfut access to any password-protected portions of your Account in the Services.

If you have a dispute with one or more users, you release us (and our officers, directors, agents, subsidiaries, joint ventures and employees) from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such disputes.

LIMITED LICENSE TO USE THE SERVICES

You are not able to use, download, or access any Services without first agreeing to the terms of the end-user license agreement that accompanies or is included in it.

You may not use, copy, republish, download, modify, distribute, license, sublicense, decompile, disassemble, create a derivative work based on, or reverse engineer the software or other products, services, or processes accessible through our Services except as expressly authorized herein or in the applicable end-user license agreement. You also acknowledge and agree that you will not transmit, upload, or attempt to transmit or upload viruses, adware, spyware, worms, or any other malicious or invasive code.

You understand that Madfut’s introduction of various technologies may not be consistent across all platforms and that the performance and some features offered by us may vary depending on your device and other equipment.

Madfut grants you a non-exclusive, non-transferable, revocable, and limited license to access and use our Services for your own non-commercial entertainment purposes. You may not use the Services for any other purposes. Any illegal use of our Services is solely your responsibility.

USER CONTENT

“User Content" means any communications, images, sounds, and all the material, data, and information that you upload or transmit through a Madfut game client or the Services, or that other users upload or transmit.

Madfut assumes no responsibility for the conduct of any user submitting any User Content, and assumes no responsibility for monitoring the Services for inappropriate content or conduct. We do not, and cannot, pre-screen or monitor all User Content. Your use of the Service is at your own risk. By using the Services, you may be exposed to User Content that is offensive, indecent or otherwise not in line with your expectations. You bear all risks associated with the use of any User Content available in connection with the Services.

You hereby grant to Madfut an irrevocable, perpetual, transferable, fully paid-up, royalty-free, worldwide license (including the right to sublicense and assign to third party) and right to copy, reproduce, fix, adapt, modify, create derivative works from, manufacture, commercialize, publish, distribute, sell, license, sublicense, transfer, lease, transmit, publicly display, publicly perform, or provide access to electronically, broadcast, communicate to the public by telecommunication, display, perform, enter into computer memory, and use and practice, in any way, your User Content as well as all modified and derivative works thereof in connection with our provision of the Services, including marketing and promotions of the Services. You also hereby grant to Madfut the right to authorize others to exercise any of the rights granted to Madfut under these Terms. You further hereby grant to Madfut the unconditional, irrevocable right to use and exploit your name, likeness and any other information or material included in any User Content and in connection with any User Content, without any obligation to you. Except as prohibited by law, you waive any rights of attribution and/or any moral rights you may have in your User Content, regardless of whether your User Content is altered or changed in any manner. Madfut does not claim any ownership rights in your User Content and nothing in these Terms is intended to restrict any rights that you may have to use and exploit your User Content. Madfut has no obligation to monitor or enforce your intellectual property rights in or to your User Content.

LINKS TO THIRD PARTIES

If the Services contain links to or mentions of other sites and resources provided by third parties, these links are provided for your convenience only. We have no control over the contents of those sites or resources, and accept no responsibility for them or for any loss or damage that may arise from your use of them.

WARRANTIES AND DISCLAIMERS

ALL INFORMATION, SOFTWARE, AND SERVICES OFFERED IN THESE SERVICES ARE PROVIDED "AS IS." MADFUT HEREBY EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

MADFUT MAKES NO WARRANTY, REPRESENTATION, OR GUARANTEE AS TO THE CONTENT, SEQUENCE, ACCURACY, TIMELINESS, OR COMPLETENESS OF ITS INFORMATION, SOFTWARE, OR SERVICES. MADFUT MAKES NO WARRANTY, REPRESENTATION, OR GUARANTEE THAT THE INFORMATION, PRODUCTS, OR SERVICES WILL BE UNINTERRUPTED OR ERROR FREE OR THAT ANY DEFECTS WILL BE CORRECTED.

MADFUT ASSUMES NO RESPONSIBILITY FOR ERRORS OR OMISSIONS IN THE INFORMATION, SOFTWARE, OR SERVICES REFERENCED OR LINKED TO ON THIS WEBSITE.

IN NO CASE SHALL MADFUT, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE HELD LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES, INCLUDING THE WEBSITES AND GAMES, ANY RESOURCES LINKED TO THE SERVICES, ANY CONTENT ON THE SERVICES OR SUCH OTHER RESOURCES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA OR BUSINESS INTERRUPTIONS ARISING OUT OF OR IN CONNECTION WITH THE USE OR PERFORMANCE OF MADFUT SERVICES) REGARDLESS OF WHETHER MADFUT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

DOWNLOADING AND USING ANY OF THE SOFTWARE OR SERVICES OFFERED BY MADFUT IS DONE AT YOUR OWN DISCRETION AND RISK AND YOU ARE SOLELY RESPONSIBLE FOR ALL DAMAGE TO YOUR DEVICE SYSTEM, LOSS OF DATA, OR OTHER HARM THAT RESULTS FROM SUCH ACTIVITIES.

INDEMNIFICATION

You agree to indemnify, defend and hold Madfut (and our officers, directors, agents, subsidiaries, joint ventures and employees) harmless from any claim, demand, damages or other losses, including reasonable attorneys' fees, asserted by any third-party resulting from or arising out of your use of the Services, or any breach by you of these Terms, however the foregoing does not apply if the infringement of rights is not attributable to your intentional or negligent behavior.

SEVERABILITY

You and Madfut agree that if any part of these Terms is or becomes, in whole or in part, invalid or unenforceable under any applicable local laws or court, it is to be deemed severed from these terms to the extent of its invalidity or unenforceability, and the rest of the terms shall remain in full force and effect.

YOU AGREE THAT YOUR USE OF THE INFORMATION, CONTENT, OR SERVICES ACKNOWLEDGES THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS.
